Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PulseBids platform ("Service") operated by Camptral Pulse (PTY) LTD, trading as PulseBids ("PulseBids", "we", "us", or "our"), a company registered in the Republic of South Africa.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

PulseBids is a software-as-a-service (SaaS) platform that aggregates South African government tender opportunities, provides AI-assisted bid analysis and proposal drafting via Tobey (powered by Google Gemini), and enables users to manage a bid pipeline. The Service is intended for business users engaged in, or intending to engage in, government procurement in South Africa.

2. Accounts

• You must provide a valid email address and keep your account credentials confidential.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old and authorised to enter into binding agreements on behalf of any business you represent.
• One person or legal entity may not maintain more than one free account.

3. Free Trial

New accounts receive a 7-day free trial of Pulse Pro. No payment details are required to start the trial. At the end of the trial period, your account reverts to a limited free tier unless you subscribe to Pulse Pro.

4. Pulse Pro Subscription

Pricing and billing

Pulse Pro is billed monthly at R499 ZAR per month (inclusive of VAT where applicable). Billing is processed by Paystack. By subscribing you authorise Paystack to charge your payment method on a recurring monthly basis.

Cancellation

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period — you retain full Pro access until then. We do not offer partial-month refunds.

Failed payments

If a payment fails, Paystack will retry automatically. After repeated failures your Pro access may be suspended until payment is resolved.

Price changes

We reserve the right to change our pricing with at least 30 days' notice by email. Your continued use of the Service after the effective date constitutes acceptance of the new price.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any South African law or regulation.
• Attempt to scrape, crawl, or systematically extract tender data at a rate that imposes unreasonable load on our infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use AI-generated proposals without reviewing them — you are solely responsible for the accuracy and compliance of any bid document you submit to a government entity.
• Misrepresent your company's B-BBEE level, certifications, or capabilities within the platform.
• Share access credentials with individuals outside your registered workspace.

6. AI-Generated Content

Tobey AI features generate proposal drafts and analysis using Google Gemini. This content is provided as a starting point only. PulseBids makes no warranty that AI-generated content is accurate, complete, legally compliant, or suitable for submission to any government entity. You are solely responsible for reviewing and verifying all AI-generated output before use.

7. Tender Data

PulseBids aggregates tender information from public South African government sources. While we strive to keep data current and accurate, we do not guarantee the completeness, accuracy, or timeliness of tender listings. Always verify tender details directly with the issuing authority before submitting a bid.

8. Intellectual Property

The PulseBids platform, brand, and all original content (excluding third-party tender data) are owned by Camptral Pulse (PTY) LTD. You are granted a limited, non-exclusive, non-transferable licence to use the Service during the period of your subscription. No intellectual property rights are transferred to you.

Content you upload (e.g. company documents) remains yours. By uploading content you grant us a limited licence to process it for the purpose of delivering the Service.

9. Limitation of Liability

To the maximum extent permitted by South African law, PulseBids shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service. This includes lost profits, lost bids, or data loss.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the 3 months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold PulseBids harmless from any claim or demand (including reasonable legal fees) made by a third party due to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately. You may export your data via the dashboard prior to termination.

12. Service Availability

We aim to provide a reliable service but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance where possible. We are not liable for any losses arising from service interruptions.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the South African courts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after changes are effective constitutes your acceptance.
